Actual purchase price: The actual purchase price will be determined by a modified dutch auction (a bidding process). as a noteholder you may send a bid price to Euroclear Bank. In order to participate to the purchase offer holders need to send a bid price within the bid range of usd 0.00 and usd 200 (the ’maximum purchase price’) per usd 1,000 to euroclear bank this bid price needs to be in increments of usd 1,000. Maximum purchase price USD 200 per usd 1,000 nominal amount of notes. Accrued and unpaid interest Accrued and unpaid interest will be paid up to, but not including, the settlement date. Minimum tender amount Holders may tender outstanding notes only in minimum denominations of USD 100,000 and integral multiples of usd 1,000 thereafter. Total invitation funds available The issuer is offering to tender up to USD 10,000,000 of its outstanding notes. Acceptance of offers Offers will be accepted starting with the lowest offer price and will be accepted until the total invitation funds available are expended. the highest priced offer accepted to reach the total invitation funds available will be the actual purchase price to be paid to all holders whose offers are accepted. In the event of multiple offers at the actual purchase price which when aggregated with all offers referred to above and accepted, results in a greater principal amount than the amount which the company wishes to purchase, such offers at the actual purchase price will be accepted on a pro rata basis.
