Корпоративное действие JSC URALKALI — REDEMPTION REQUEST

In connection with the merger of ojsc uralkali and ojsc silvinit approved at the egm held 04/02/11 (refer to corporate action notification 4422693), gdr holders may be entitled to request redemption of all or part of their gdrs.
Pro rata:
In accordance with the requirements of paragraph 5 of article 76
Of the federal law 'on joint stock companies' in the event that
The aggregate value of presented and redeemed shares, including shares represented by gdr's, exceeds 10pct of the net asset value of uralkali as of 04/02/11 (the egm date), the shares, including gdrs, shall be redeemed pro rata, taking into account that 1 gdr represents 5 shares.
Price:
Based upon the market value of common registered uncertificated share of ojsc uralkali as determined by the independent appraiser ооо financial consulting group (appraisal report no. 10122010-1 dated december 10, 2010 prepared on the basis of an agreement to conduct an appraisal no. 19082010/61 dated august 19, 2010), to set the price for the common registered uncertificated shares of ojsc uralkali in the amount of rub 203.37 (two hundred three rubles thirty-seven kopecks) per common registered uncertificated share of ojsc uralkali for the purposes of their purchase from the shareholders of ojsc uralkali by the company pursuant to art. 75 of the federal law on joint stock companies, with rights arising for them for the company to buy out the shares belonging to them should they vote against adoption of the resolution(s) on item(s) 1-5 of the agenda of the company's extraordinary general shareholders' meeting to be conducted on february 4, 2011, or if they do not take part in voting on these items.
Pro ration announcement:
On the russian market the results will be announced by 26/03/11
From this date the gdr agent will calculate the pro-ration
For gdr holders, and announce it as soon as possible

Usd payment:
The usd rate will be calculated after the expiry of the
Offer, once the funds have been credited to the gdr agent (in
Rubles). The exchange rate will be determined at the spot market rate available on the day that the funds have been received on the gdr market.
