Quorum
The quorum for the meeting will be two or more persons present in Person holding notes or being proxies or representatives and Holding or representing not less than 75 per cent. Of the Aggregate principal amount of outstanding notes, or at any Adjourned meeting, one or more persons present in person holding Notes or being proxies or representatives and holding or Representing not less than 25 per cent. Of the aggregate Principal amount of outstanding notes.
Consent fee
The issuer will pay on the consent settlement date to each Noteholder who has delivered on or prior to the early consent Deadline (and has not validly withdrawn or revoked such consent Instruction voting in favour of the extraordinary resolution, the Early consent fee of usd 1.00 per usd 1,000.
Any noteholder who submits a consent instruction after the early Consent deadline but on or prior to the final consent instruction Deadline (and has not validly withdrawn or revoked ) a consent Instruction voting in favour of the extraordinary resolution, Will not be eligible to receive the early consent fee. Noteholders who attend the meeting will not be eligible to Receive the early consent fee. Noteholders who vote against the Extraordinary resolution (or who do not vote at all) will not be Eligible to receive the early consent fee.
The early consent fee is subject to the approval of the Extraordinary resolution.
