By rti to acquire the remaining 3,525,358,200 ordinary registered
Shares of sitronics, including ordinary shares underlying the drs,
Each with a nominal value of rub 1.00 (the -shares-), representing
The remaining 36.926 percent of the issued and outstanding share
Capital of the issuer.

Gdr offer period:

From 16/04/12 until 16/05/12.

Gdr offer price:

The gdr offer price will be determined by the depositary as
Promptly as practicable following the local pay date at a market
Exchange rate available to the depository

Pay date:

Within 5 business days of the local pay date

Local pay date: The offeror will pay for the underlying shares as soon as
Commercially possible, but in any event no later than 10 days
After the underlying shares have been credited to the designated
Securities account of the offeror.
The offeror confirms that in accordance with russian law it has
Entered into a bank guarantee agreement with gazprombank pursuant
To which payment for shares tendered in the offer is guaranteed.

Withdrawal rights

Instructions may be withdrawn at the latest two hours before the Deadline.

Fees:

An aggregate fee of usd 0.0125 per dr tendered by a participating
Holder and subsequently cancelled by the depositary, including a
Fee for the distribution of proceeds resulting from the purchase
Of shares.
